MooseQuest LLC is a Pennsylvania single-member LLC doing business as Raxx, a pre-launch subscription SaaS platform for self-directed retail traders. I am the sole member.

Raxx allows users to define their own entry, credit, and exit rules, then analyzes their own historical trades against those user-defined rules and returns fully retrospective results. Raxx does not make forward-looking recommendations, does not advise on the value or advisability of any security, does not execute or direct any trades (the user's own brokerage executes the user's own pre-configured rules deterministically), and does not take custody of any assets. The platform is subscription-based.

I am seeking legal counsel in two areas before launch:

  1. Investment Advisers Act analysis. I need a §202(a)(11) determination — whether Raxx's retrospective, user-data-only, no-forward-looking-advice fact pattern triggers "investment adviser" status — and review of our public-facing website copy to confirm which claims are permissible and what disclaimer language is required.

  2. Consumer terms. I need a Privacy Policy and Terms of Service drafted or reviewed for launch, covering CCPA/CPRA compliance and GDPR posture (depending on whether EU users will be served at launch), with appropriate securities disclaimer language within the ToS.

Launch timing is near and I am seeking counsel for a pre-launch legal review. I would appreciate an initial consultation, a conflicts check, and a fee and engagement-structure estimate.
