Raxx Beta Tester Non-Disclosure Agreement

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between MooseQuest LLC dba Raxx ("Company"), a Pennsylvania limited liability company, and the individual signing below ("Tester").

2. Purpose

Company is providing Tester with access to a pre-release version of the Raxx algorithmic trading platform (the "Beta Product") for the purpose of evaluation and feedback. In connection with this access, Company may disclose confidential and proprietary information to Tester.

3. Confidential Information

"Confidential Information" means any non-public information disclosed by Company to Tester, including but not limited to:

• Software, code, algorithms, and trading logic
• User interface designs, mockups, and workflows
• Business plans, pricing, and commercial strategies
• Technical architecture, APIs, and infrastructure
• Any information designated as confidential or that a reasonable person would understand to be confidential given the nature of the disclosure

4. Tester Obligations

Tester agrees to:

a) Hold all Confidential Information in strict confidence;

b) Not disclose Confidential Information to any third party without the prior written consent of Company;

c) Use Confidential Information solely for the purpose of evaluating and providing feedback on the Beta Product;

d) Promptly notify Company if Tester becomes aware of any unauthorized use or disclosure of Confidential Information;

e) Not reverse engineer, decompile, or disassemble any software provided as part of the Beta Product.

5. Feedback

Any feedback, suggestions, bug reports, or ideas Tester provides to Company regarding the Beta Product ("Feedback") are provided voluntarily and Company may use such Feedback without restriction or compensation to Tester. Tester assigns to Company all right, title, and interest in any Feedback.

6. No Warranty

The Beta Product is provided "as is" without warranty of any kind. Company makes no representations regarding the fitness, merchantability, or reliability of the Beta Product for any purpose. Tester uses the Beta Product at their own risk.

7. No Trading Advice

Nothing in the Beta Product or in any communications from Company constitutes financial, investment, or trading advice. Tester acknowledges that Raxx is a structure-enforcement tool, not a signal generator, and that all trading decisions remain solely the Tester's responsibility.

8. Term and Termination

This Agreement is effective upon Tester's acknowledgement and continues until the earlier of: (a) Company's public launch of the Raxx platform, or (b) written notice of termination by either party. Obligations of confidentiality survive termination for a period of two (2) years.

9. No License

This Agreement does not grant Tester any license, right, or interest in Company's intellectual property beyond the limited right to access and evaluate the Beta Product as described herein.

10. Governing Law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements or understandings.
